LOL, I am a bad speller, but still apples fault
Server 32bit will use all 4gb of ram fine, so thats not really the bottom line.
I checked with my friend up at Redmond, and he says running SRCDS servers (and any other online based game servers) will NOT break the Web Edition Eula; he also recommends web edition as its (A) Lighter (B) Optimized for a bigger internet load

Anyways... although a 32bit OS will recognize up to 4gb of RAM, it doesn't always mean it's using it. Bottom Line : if you have 4gb of RAM (or more) in your system, and you want to take full advantage of it, start using a 64bit OS.
I know a lot of people still use Server 2008 web edition, I'm just saying, I believed it was against the EULA, however your right, the DC's won't care if it doesn't affect their network.
